Terms of Service.
These terms govern your use of services provided by WorkFlow Automation Network ("WFAN", "we", "us") and establish our mutual responsibilities.
1. Acceptance of Terms
By accessing and using our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Description of Services
We provide AI-powered workflow automation solutions, including but not limited to:
- Process automation consulting and implementation
- AI integration and custom automation solutions
- Workflow optimisation and efficiency improvements
- AI enablement, training and support services
- Business intelligence and analytics solutions
3. Your Responsibilities
- Provide accurate and complete information
- Use our services in compliance with applicable laws
- Maintain the confidentiality of access credentials
- Not interfere with or disrupt our services
- Respect intellectual property rights
- Pay all fees and charges in a timely manner
4. Payment Terms
Fees and billing
- All fees are quoted in Australian Dollars (AUD) unless otherwise specified
- Payment terms are typically 30 days from invoice date
- Project costs are outlined in separate service agreements
- Additional work may be subject to change orders
Late payment
Late payments may result in service suspension and additional charges. We reserve the right to charge interest on overdue amounts.
5. Intellectual Property
Our property: all intellectual property in our services, including software, documentation and methodologies, remains our exclusive property.
Your property: you retain ownership of your data and business information. We will not use your confidential information except as necessary to provide services.
Custom solutions: automation solutions developed specifically for your business are governed by separate licensing agreements.
6. Confidentiality
- Maintain strict confidentiality of your business data
- Use information only for providing agreed services
- Implement appropriate security measures
- Not disclose information to third parties without consent
- Return or destroy confidential information upon request
7. Service Limitations
Availability: while we strive for maximum uptime, we cannot guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance.
Performance: automation performance may vary based on system complexity, data quality and external factors beyond our control.
Scope changes: changes to project scope may require additional time and costs, subject to mutual agreement.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the amount paid for services in the preceding 12 months
- We are not liable for indirect, consequential or punitive damages
- We are not responsible for third-party service failures
- Business interruption or lost profits are excluded from our liability
9. Termination
By either party: either party may terminate services with 30 days written notice, subject to completion of ongoing projects.
For cause: we may terminate services immediately for breach of terms, non-payment or violation of acceptable use policies.
Effect: upon termination, we will provide reasonable assistance in transitioning services and return your data as agreed.
10. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. Except as expressly stated, all services are provided "as is" without warranties of any kind, including merchantability or fitness for a particular purpose.
11. Dispute Resolution
- First addressed through good-faith negotiation
- Governed by Australian law
- Subject to the jurisdiction of Australian courts
- Resolved through binding arbitration if negotiation fails
12. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of our services after changes become effective constitutes acceptance.
